Security Token Offerings · Real assets · CNMV

Real assets. Regulated tokens.

HyperSTO turns real estate, gold, diamonds or energy into security tokens and takes them to market with CNMV authorisation. We structure, issue and market your STO end to end.

  • 1ªtokenized issuance authorised by the CNMV in Spain
  • 100%tokens backed by a real asset
  • UELaw 6/2023 · MiCA · Bank of Spain

Our rule

No real asset, no token.

We don’t launch cryptocurrencies or promises. Every token that leaves HyperSTO represents a right over something that exists and can be appraised, audited and held in custody: a building, a gold bar, a diamond, a solar plant. Blockchain doesn’t replace the asset: it makes it divisible, traceable and accessible.

How an asset is tokenized

From brick to block.

  1. 01

    Asset

    A real, tangible, appraisable asset

It all starts with something that exists. We assess the viability of the asset and the issuer: ownership, encumbrances, cash flows and fit with investor appetite.

  2. 02

    Due diligence

    Independent valuation and audit

Appraisal by an independent expert, legal and financial review and technical certifications. Every figure the investor sees is documented and traceable.

  3. 03

    Legal structure

    Vehicle, instrument and authorisation

We design the vehicle and the instrument (shares, bonds or participating loan), prepare the documentation and obtain from the CNMV the authorisation the project needs, with the token registered by an ERIR.

  4. 04

    Issuance

    The token is born on‑chain

We deploy the security token smart contract with a KYC whitelist, transfer rules and an immutable record. Every block is an entry nobody can alter.

  5. 05

    Distribution

From one token to thousands of investors

The asset is split into affordable fractions and goes to market through an investor portal under your brand: digital onboarding, KYC/AML, payment and automatic distribution of returns.

Regulation

Three keys to every issuance.

You don’t need a licence of your own: HyperSTO obtains from the CNMV, for your project, the authorisations each issuance requires. Before issuing we classify every token under the right regime: a security token is a financial instrument; a pure crypto‑asset falls under MiCA. That analysis is the difference between a solid issuance and a problem.

  1. 01

    CNMV

    Spanish Securities Market Commission

Spain’s Law 6/2023 on Securities Markets recognises securities represented on blockchain. The token is registered through an ERIR (entity responsible for registration) and the offer is published with the prospectus or document required by its size and audience.

    • ERIR
    • Prospectus
    • MiFID II
  2. 02

    MiCA

    Regulation (EU) 2023/1114

Applicable across the EU since 30 December 2024. It governs crypto‑assets that are not financial instruments (asset‑referenced, e‑money and other tokens). We determine whether your token is a security or a crypto‑asset and apply the right framework, including the DLT Pilot Regime where relevant.

Anti‑money‑laundering (Law 10/2010) with KYC/AML identification of every investor, and coordination with entities supervised by the Bank of Spain for collections, cash custody and, where the project requires it, e‑money tokens.

What can be tokenized

One asset, a thousand ways to fund it.

01 / 03 · Commodities

Physical gold, split into grams

1 kg bars held in a vault and audited every quarter. Depending on the structure, the token is a security (gold‑backed note) or an asset‑referenced crypto‑asset under MiCA.

02 / 03 · Energy

A green bond that pays with the sun

The plant issues a tokenized bond to fund its construction. The coupon is paid every six months from energy sales and each investor sees in real time how many kWh their fraction produces.

FAQ

What issuers ask us.

What is an STO?

A Security Token Offering is an offer of securities (shares, bonds, participating loans…) represented as tokens on a blockchain. It carries the same legal safeguards as a traditional security, but it is issued, recorded and transferred digitally.

Do I need a licence to issue?

No. HyperSTO obtains from the CNMV, for your project, the authorisations each issuance requires and coordinates the necessary entities (ERIR, custody, payments). You bring the asset; we bring the structure, the technology and the regulatory process.

Which assets can be tokenized?

Real assets that can be valued and verified: real estate, precious metals, diamonds and other luxury goods, renewable energy plants, corporate debt, receivables or company shares. If there is no real asset behind it, we don’t issue it.

Does MiCA apply to my token?

It depends. If the token is a financial instrument (the usual case in an STO) it is governed by securities law —Law 6/2023 and MiFID II— not MiCA. If it is a crypto‑asset, for example one referenced to gold without being a security, MiCA applies. We analyse this at the start of every project.

How long does it take to launch an issuance?

It depends on the asset, the instrument and the type of authorisation. The technology is ready; timing is driven by due diligence, documentation and the regulator’s review. In the first meeting we give you a realistic timeline.

Who can invest and from what amount?

Each issuance defines it: it can target retail investors, professionals or both, in Spain or abroad. Tickets can start at low amounts, such as €100, and every investor goes through KYC/AML.

What happens to the physical asset?

The asset stays with the issuing vehicle or in third‑party custody (vault, depositary), with periodic audits. At Dianelum, for example, the issuer keeps diamonds in stock worth the equivalent of the subscribed principal.

Who is behind HyperSTO?

HyperSTO is a product of Sede Blockchain, a Barcelona company specialising in enterprise blockchain, also the maker of HyperGalax and HyperNifty, and responsible for the digital product behind the first tokenized issuance authorised by the CNMV in Spain.
